Exclusive negotiations are now underway between the media conglomerate and the streaming behemoth for a potential sale of its core studio and streaming operations, a development that could dramatically alter the entertainment industry landscape.
A High-Stakes Competition
The leading streamer is said to be competing against other industry titans like Paramount Skydance and Comcast, the owner of significant media properties, for ownership of the iconic Hollywood institution, the premium HBO network, and the Max streaming platform.
Sources indicate the company has offered a hefty termination penalty of £3.7 billion if the acquisition not obtain necessary regulatory approval in the United States.
The Offer Details
As the company's stock sitting around approximately $24, its overall market cap is estimated at roughly $60 billion. It is believed Netflix's offer ranges from $28 and $30 per share, which suggests a potential deal worth in the range of $70 billion to $75 billion.
Analysts have warned that such a merger could raise significant competition issues, as it would combine two of the largest subscription platforms in the American market.
Assurances and Strategic Moves
In its proposal, the streamer has reportedly given guarantees that the Warner Bros film studio, behind iconic series like Harry Potter and Batman, would retain broad cinema distribution.
Prior to any potential deal closing, Warner Bros Discovery is planning to finalize a planned spin-off of its linear TV networks, which include CNN, TBS, and TNT.
A Content Powerhouse
Should the deal proceed, the buyer would become the owner of HBO, the maker of critically acclaimed hits including Game of Thrones, Succession, The Sopranos, and The White Lotus, plus an vast archive of classic television.
Warner Bros officially began its auction last fall after attracting overtures by several interested parties.
Industry Concerns
This prospective deal has sparked controversy. Esteemed director James Cameron, director of Titanic and the Avatar series, recently warned that a Netflix acquisition could lead to a "catastrophic loss of long-term value" for the broader entertainment industry.
Initially, Paramount Skydance had been considered the early favorite. The company had similarly proposed a $5bn termination fee contingent on approval issues.
Allegations of an Uneven Playing Field
This week, Paramount argued in a letter that its bid was the most likely to secure government approval. Additionally, the company accused the seller of conducting an "biased sales process" that favored Netflix, labeling it "compromised" in legal correspondence.
Officials from Warner Bros, Netflix, Comcast, and Paramount have declined to provide a statement on the current talks.
